The purpose of the company is the acquisition and sale as well as the holding and administration of participations of all kinds. The Company may

• establish subsidiaries and branch offices in Switzerland and abroad and participate in other companies in Switzerland and abroad;
• acquire, hold and sell real estate and intangible property rights;
• also engage in all commercial, financial and other activities which are directly or indirectly related to the purpose of the Company;
• provide direct or indirect financing to third parties or companies in which it holds a direct or indirect interest, as well as to direct or indirect shareholders or companies in which such shareholders or companies hold a direct or indirect interest, whether by way of loans and/or other financing, including under cash pooling arrangements;
• provide security of any kind for its own liabilities or the liabilities of the aforesaid persons, including by way of lien, assignment, fiduciary transfer, guarantee of any kind or by way of indemnity undertaking, whether or not for consideration, even if such financing, security or guarantee is in the exclusive interest of third parties or companies in which it has a direct or indirect interest or of direct or indirect shareholders or companies in which such shareholders or companies have a direct or indirect interest.
